Terms of service

1. Who we are

Halcyon List ("Halcyon," "we," "us") is a Texas-licensed real estate brokerage operated by [Dagwood Properties LLC]. Our broker of record is [Name], TREC License #[Number]. Halcyon offers flat-fee listing services to residential sellers in Texas markets — currently Austin and Waco.

These Terms cover your use of halcyonlist.com and app.halcyonlist.com (the "Site"). They do not replace the Listing Agreement you sign before we list your property — that agreement controls the brokerage relationship.

2. Who can use the Site

You must be at least 18 and a legal resident of the United States. The seller-onboarding flow is for owners of Texas residential property — or someone with legal authority to sell on the owner's behalf, such as an executor, trustee, or court-appointed fiduciary. If you submit information that is false or misleading, we may decline to list your property.

3. Accounts

You are responsible for keeping your account credentials secure and for activity that happens under your account. If you think someone else has accessed your account, contact us at [support@halcyonlist.com] right away.

4. Our service and your Listing Agreement

When you complete intake and we approve your listing, we ask you to sign a Listing Agreement (TAR-1101 or its successor form). The Listing Agreement — not these Terms — governs:

  • The flat fee you owe at closing
  • Our duties to you as your listing broker
  • Listing term length, protection period, and cancellation terms
  • How we represent you in negotiations and at closing

If these Terms conflict with the Listing Agreement, the Listing Agreement controls.

5. Pricing and fees

Listing tier pricing is shown on our pricing page and again before you sign. Fees are paid from your sale proceeds at closing. If you cancel after your listing goes live on MLS, a tier-specific cancellation fee applies (see your Listing Agreement). If you cancel before your listing is MLS-active, no fee applies.

6. What you upload, and what we do with it

When you upload photos, descriptions, captions, or other content about your property, you grant Halcyon a non-exclusive, royalty-free license to use, display, copy, and distribute that content for the purpose of marketing your property — including on MLS, syndication partners (Zillow, Realtor.com, etc.), our website, marketing emails, and our marketing materials. This license ends when your listing closes or terminates, except where MLS or syndication terms require longer retention.

You represent that you own or have permission to use everything you upload, and that nothing you upload infringes any third party's rights.

7. Acceptable use

Don't use the Site to:

  • Submit false or misleading property information
  • Submit listings you don't have authority to sell
  • Upload content that infringes copyrights, violates fair-housing laws, or could be reasonably understood as discriminatory
  • Interfere with the Site's normal operation — scraping, automated submissions, attacks
  • Impersonate someone else

We may suspend or terminate your account if you do any of these.

8. Our content

The Site, our brand, our logos, our copy, our designs, and the software that runs halcyonlist.com and app.halcyonlist.com are owned by Halcyon (or licensed to us). You may not copy, modify, or redistribute them without permission.

9. Third-party services

The Site links to and integrates with third-party services — TREC's forms website, MLS feeds, e-signature, property data providers, payment processors, and identity verification. We don't control those services and aren't responsible for their content or behavior. Your use of them is governed by their own terms.

10. Brokerage compliance information

Texas real estate license law requires us to display certain information on every page of this Site. See our footer for:

  • The Texas Real Estate Commission Information About Brokerage Services notice (IABS)
  • The Texas Real Estate Commission Consumer Protection Notice
  • Our brokerage license number and Equal Housing Opportunity statement

11. Disclaimers

The Site and our services are provided "as is." We make no guarantees that:

  • Your property will sell at any particular price, or at all
  • A buyer will materialize within any specific timeframe
  • Your MLS listing will appear on any specific syndication partner
  • Public records data, automated valuations, or third-party data we surface is accurate or current

Halcyon is a Texas-licensed brokerage. We are not your attorney, tax advisor, financial advisor, or property inspector, and we don't provide legal, tax, financial, or inspection advice. For those, talk to a qualified professional.

12. Limitation of liability

Attorney review: confirm the cap amount, the carve-outs, and whether Texas law requires conspicuous-text formatting for any clause here.

To the maximum extent allowed under Texas law, Halcyon's total liability to you for anything arising out of your use of the Site or our services is limited to the lesser of (a) the flat fee you have paid us, or (b) [$5,000 — placeholder for attorney review]. We are not liable for indirect, consequential, special, punitive, or incidental damages — including lost profits, lost data, or lost opportunities.

Nothing in this section limits liability for fraud, gross negligence, willful misconduct, or anything else that Texas law does not allow us to disclaim.

13. Indemnification

You agree to defend and hold Halcyon harmless from any claims, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Content you upload to the Site
  • Property information you provide that turns out to be false or misleading
  • Your breach of these Terms or applicable law
  • Your violation of any third party's rights

14. Termination

You can stop using the Site at any time. If you have an active Listing Agreement, your cancellation rights and obligations are governed by that agreement. We may suspend or terminate your access to the Site if you breach these Terms or applicable law.

15. Governing law and disputes

Attorney review: confirm venue (default below is Travis County), and whether you want a mandatory arbitration clause for non-listing-agreement disputes.

These Terms are governed by Texas law, without regard to conflicts of law. Disputes will be resolved in the state or federal courts located in [Travis County, Texas], and you and we consent to personal jurisdiction in those courts.

Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

16. Changes

We may update these Terms from time to time. We'll post the new Terms on this page and update the "Last updated" date. Material changes that affect your existing Listing Agreement will be communicated by email.
